Terms and Conditions

All sales made by House of European Design (HOED) are subject to the following terms and conditions. An order placed for goods from HOED denotes recognition and acceptance of these terms and conditions by the purchaser.


Pricing and Payment

 
• Invoices are payable in US dollars.

• Prices do not include taxes, shipping, assembly or installation, unless otherwise noted on confirmation.

• Prices are subject to change at any time, without notice.

• A 50% deposit must be received upon the order of all lighting and furniture goods ordered from HOED. The balance is due 4 days prior to pick-up or delivery.

• Payment in full must be received prior to shipment of all goods ordered from HOED, unless otherwise specified in writing.


Ordering

 
• HOED prefers all orders to be submitted in writing either by fax, mail, or email.

• HOED will confirm your order thru in person invoice, fax, mail, or email.

• All orders are subject to factory availability and approval, HOED reserves the right to refuse an order for any reason.

• All custom orders require 50% Non-refundable deposit and no changes or cancellation will be accepted once the order is in production.

• No order may be cancelled without the written consent of HOED.

• Please be aware that the showroom samples and catalog photographs are indicative of color but do not guarantee the actual color. Natural materials and handcrafted materials vary in color and texture and we cannot guarantee an exact match.

• Import (furniture and specialty European orders) lead times can be anywhere from 10 to 16 weeks, including production time, freight, and customs clearance. However, we do stock some lighting so please inquire with you sales representative.


Shipping and Delivery

 
• Our delivery dates are approximate and cannot be guaranteed. We will try to advise you in advance if your order will be delayed.

• HOED will not be held responsible for any shipping delays that are beyond our control.

• HOED or the shipping company inspects all products prior to pickup to ensure that they are undamaged and in good condition.

• Most products are shipped to HOED's warehouse in Los Angeles, California. When the shipping company receives our goods and signs our bill of lading that the goods are in good condition, the risk of the goods being lost or damaged passes to the client. If a product has been lost or damaged in transit, it is the client's responsibility to file a claim with the shipping company. HOED will not be held responsible for any loss or damage that occurs in transit.

• All shipments are prepaid and insured for the invoice value of the goods.

• HOED reserves the right to invoice and to ship partial orders, unless otherwise specified in writing.

• HOED will ship any items that were mis-shipped or shorted via regular via regular ground service at our cost. Any extra charges for express or air shipments will be the responsibility of the client.

• We will store your goods for up to 30 days at no charge to you. For storage over 30 days, you will be charged 15% per month or any part thereof, of your invoice total.

• The prices quoted on our website DO NOT reflect all of our freight and handling charges. This is quoted on an individual basis upon ordering. Freight quotes are based on standard ground charges, if expedited freight is desired, please request as such upon ordering.

• For Import Items (furniture and specialty European orders) ocean freight is standard. If expedited air freight is desired, please specify.

• Claims of product defects must be made in writing within 2 days of delivery.


Returns and Cancellations

 
Internet and phone orders

• We know it can be tough to decide on colors and styles but, unfortunately, once you've submitted your online or phone order, after 48 hours we can not accept changes or cancellations. If you're in doubt about any details, please hold off until you're 100% sure.

• All sales are final, NO RETURNS!

In store orders

• No cancellations without restocking fees after 48 hours.

• No pre-production order may be cancelled without the written consent of HOED.

• Cancellations authorized in writing within 30 days of invoicing are subject to a 25% - 40% restocking charge depending on production stage.

• No cancellations will be considered after 30 days of invoicing.

• All delivered sales are final, NO RETURNS!


Claims

 
• Risk of loss passes to the Purchaser at the time of shipment. Purchaser shall inspect all Products upon receipt for visible damage to the Product as well as the packaging. Damage to the packaging alone does not constitute damage to the Product and will not be considered valid for claim purposes.


Compliance with Law

 
• PURCHASER IS SOLELY RESPONSIBLE FOR COMPLIANCE WITH ALL LAWS, ORDINANCES, REGULATIONS, RULES, AND STANDARDS RELATING TO THE INSTALLATION, MAINTENANCE, USE AND OPERATION OF THE PRODUCTS.

• Some laws vary from state to state.


Limitations of Liability

 
• Seller, its contractors and subcontractors or suppliers of any tier shall not be liable to Purchaser for any special, indirect, incidental or consequential damages arising from Products or from a breach of this Agreement.

• Purchaser's remedies set forth herein are exclusive and the liability of Seller with respect to the breach of this Agreement or any contract entered into between the parties pursuant hereto shall not exceed the price of the Product(s) or part on which such liability is based. To the extent that the laws of any jurisdiction do not permit limitations or exclusions of implied warranties, incidental damages and consequential damages, the above limitations may not apply. In such jurisdictions, the above limitations shall be enforced to the greatest extent permitted by applicable law.


Choice of Law and Forum; Arbitration

 
• The Terms will be governed by the laws of the State of California, without giving effect to its conflict of laws provisions. Any claim or controversy arising in any way out of or relating to the Terms shall be filed in a court of competent jurisdiction sitting in San Francisco County, California. Both parties consent to exclusive jurisdiction in that county, provided, however than either party may elect to settle any litigation in any way arising out of or relating to these Terms of Service by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. If elected, such arbitration shall be conducted in San Francisco, California, and judgment on the arbitration award may be entered into any court having jurisdiction thereof.
